These Terms of Service ("Terms") govern your access to and use of TalentFormat, a software-as-a-service platform that helps recruitment teams transform candidate CVs into branded, standardized, and ATS-friendly documents (the "Service"). By accessing or using the Service, you agree to be bound by these Terms.
1. Account and Eligibility
- You must be at least 18 years old and able to form a binding contract.
- You are responsible for maintaining the confidentiality of your credentials and all activity under your account.
- If you create a team account, you represent that you have authority to bind the organization and manage member access and roles.
2. Use of the Service
- You may upload CVs/resumes and related materials ("Content") solely to generate formatted outputs according to your templates and settings.
- You retain ownership of your Content and grant us a limited license to host, process, and transform such Content to provide the Service.
- You must not upload unlawful, discriminatory, or infringing content, nor use the Service to violate privacy or labor laws.
- AI-powered features may be used to summarize, standardize, or redact data. Outputs may contain errors; you are responsible for reviewing results before use.
3. Templates and Output
- You may upload or configure templates. You represent you have rights to use any logos, fonts, and brand assets included.
- Outputs are provided to you for your internal business purposes.
4. Subscriptions, Billing, and Taxes
- Paid plans are billed in advance on a recurring basis (monthly or annually).
- Fees are non-refundable except where required by law. Downgrades and cancellations take effect at the end of the current billing period.
- Per-seat plans may adjust automatically as you add or remove members. You authorize us to charge the payment method on file for applicable fees and taxes.
5. Privacy and Data Protection
Our processing of personal data is described in the Privacy Policy. You are responsible for having a lawful basis to process candidate data and for providing any required notices to candidates. Where applicable, we act as a processor on your behalf.
6. Confidentiality
Each party will protect the other party’s confidential information and use it only as needed to perform under these Terms.
7. Acceptable Use
- No reverse engineering, scraping, or interfering with the Service.
- No use to develop competing models/products using our outputs or systems.
- No introduction of malware or attempts to gain unauthorized access.
8. Service Availability and Support
We aim for high availability but do not guarantee uninterrupted Service. Planned maintenance and emergency updates may occur. Support is provided as described on our website and plan descriptions.
9. Intellectual Property
- We own all rights in the Service, software, and related materials.
- No rights are granted except as expressly set out in these Terms. Feedback may be used by us without restriction.
10. Termination
- You may cancel at any time via your account settings.
- We may suspend or terminate access for breach, legal risk, or harm to the Service, with notice where reasonable.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. AI-ASSISTED OUTPUTS MAY CONTAIN INACCURACIES. YOU ARE SOLELY RESPONSIBLE FOR VERIFYING OUTPUTS AND COMPLIANCE WITH APPLICABLE LAWS (INCLUDING PRIVACY AND EMPLOYMENT LAWS).
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA. OUR TOTAL LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
13. Indemnification
You will indemnify and hold us harmless from claims arising out of your Content, your use of the Service in violation of these Terms, or your violation of applicable laws.
14. Changes to the Service or Terms
We may modify the Service and these Terms from time to time. Material changes will be notified via the Service or email. Continued use after changes become effective constitutes acceptance.
15. Governing Law
These Terms are governed by the laws of your primary place of business if located in the EU/EEA or UK; otherwise, by the laws of the jurisdiction where we are established, without regard to conflict-of-law provisions. Venue and jurisdiction will be as permitted by applicable law.
